These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Mitale, Inc. (“Mitale,” “we,” “us,” or “our”), governing your access to and use of the Mitale platform, including all websites, applications, AI-powered tools, content, features, and services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. ELIGIBILITY

1.1 Age Requirement.

You must be at least thirteen (13) years old to use the Services. If you are under sixteen (16), access to certain content or features may be restricted.

1.2 Authority.

By using the Services, you represent and warrant that you have the legal capacity to enter into this agreement.

2. ACCOUNT REGISTRATION AND SECURITY

2.1 Account Creation.

You must create an account to access certain features and provide accurate, complete, and current information.

2.2 Account Responsibility.

You are responsible for safeguarding your credentials and all activities conducted under your account.

2.3 Unauthorized Access.

You agree to notify Mitale immediately of any unauthorized use or security breach. Mitale is not liable for losses resulting from unauthorized access.

3. DESCRIPTION OF SERVICES

3.1 Platform Overview.

Mitale is an interactive storytelling platform allowing users to create, publish, and interact with AI-generated characters and fictional content across text, voice, image, and other media formats.

3.2 Service Modifications.

Mitale may modify, suspend, or discontinue any part of the Services at any time without liability.

4. ARTIFICIAL INTELLIGENCE DISCLAIMER

4.1 AI-Generated Content.

The Services use artificial intelligence to generate content. AI outputs may be inaccurate, fictional, biased, or incomplete and do not represent Mitale’s views.

4.2 No Professional Advice.

The Services do not provide medical, legal, financial, tax, or professional advice. Reliance on AI-generated content is at your own risk.

5. USER CONTENT

5.1 Ownership.

You retain ownership of content you create or submit (“User Content”).

5.2 License Grant.

By submitting User Content, you grant Mitale a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, distribute, display, and create derivative works of your content for the operation, promotion, improvement, and training of the Services.

5.3 Responsibility.

You represent that you have all rights necessary to submit your User Content and that it does not violate these Terms or any applicable law.

6. PUBLIC AND PRIVATE CONTENT

6.1 Visibility.

Users may designate content as public or private. Public content may be accessed and interacted with by other users.

6.2 Preservation of Public Content.

Mitale may retain public or shared content to preserve continuity and user experience, even if the creator deletes their account.

7. CREDIT SYSTEM AND PAYMENTS

7.1 Credits.

Credits are virtual items used to access AI features.

Credits have no monetary value
Credits are non-transferable and non-refundable
Credits are forfeited upon account termination

7.2 Pricing.

Mitale may change pricing, credit costs, or feature usage rates at any time.

7.3 Payments.

Payments are processed by third-party providers. Mitale does not store payment information.

8. PROHIBITED CONDUCT

You agree not to:

Violate any applicable law or regulation
Create or distribute sexual content involving minors
Post pornographic, exploitative, or non-consensual content
Promote real-world violence, extremism, or illegal activities
Harass, threaten, impersonate, or defame others
Infringe intellectual property rights
Share private or confidential information
Reverse engineer, exploit, or bypass platform safeguards
Engage in spam, fraud, or automated abuse

9. MODERATION AND ENFORCEMENT

Mitale may monitor, review, remove, or restrict content and may suspend or terminate accounts at its sole discretion. Mitale is not obligated to monitor all content and is not liable for user-generated content.

10. INTELLECTUAL PROPERTY

All platform software, AI models, trademarks, and materials (excluding User Content) are owned by Mitale or its licensors. No rights are granted except as expressly stated.

11. TERMINATION AND SUSPENSION

11.1 Termination by You

You may terminate these Terms at any time by deleting your account or discontinuing use of the Services.

11.2 Termination or Suspension by Mitale

Mitale may suspend or terminate your access if:

a) You violate these Terms or applicable law;

b) Your activity poses a risk to users, the platform, or third parties;

c) Your account remains inactive for an extended period;

d) Required by legal or regulatory obligations; or

e) The Services are discontinued or materially modified.

Where reasonable, Mitale will provide notice and an opportunity to remedy. Immediate action may be taken where necessary.

11.3 Effect of Termination

Upon termination or suspension:

a) Your access to the Services will cease;

b) Unused credits, subscriptions, or promotional balances are forfeited and non-refundable except where required by law;

c) Private content may be deleted or restricted;

d) Public or shared content may remain available;

e) Mitale is not liable for loss of data or content.

11.4 Survival

The following provisions survive termination:

Artificial Intelligence Disclaimer, User Content and License Grant, Credits and Payments, Refunds, Intellectual Property, Disclaimers of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

11.5 No Waiver

Termination does not limit Mitale’s legal remedies.

12. REFUNDS, BILLING, AND PAYMENTS

12.1 No Refund Policy.

All purchases are final and non-refundable except where required by law.

12.2 Credits.

Credits are consumed upon use and cannot be refunded or reversed.

12.3 Subscriptions (If Applicable).

Subscriptions renew automatically unless canceled. Partial refunds are not provided unless required by law.

12.4 Promotional Credits.

Promotional credits are discretionary, non-refundable, and may expire or be revoked.

12.5 Chargebacks.

Chargebacks may result in suspension or termination.

12.6 Third-Party Platforms.

Purchases through app stores are governed by their respective refund policies.

13. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MITALE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MITALE SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Mitale from any claims arising from your use of the Services, your User Content, or your violation of these Terms.

16. CHANGES TO TERMS

Mitale may update these Terms at any time. Continued use constitutes acceptance of the revised Terms.
